SchoolAdvisor end user license agreement
IMPORTANT: PLEASE READ THIS LICENSE CAREFULLY BEFORE USING THIS SOFTWARE.
1. License Grant & Scope
1.1 SchoolAdvisor grants you a non-exclusive, non-transferable, limited license to use The Hive (“Software”) in accordance with this Agreement.
1.2 This License is granted solely for the purpose of accessing and utilising the functionalities of The Hive to manage and track tender processes within your school.
2. License Limitations
2.1 You may not modify, distribute, sell, or lease the Software.
2.2 You may not reverse engineer, disassemble, or attempt to derive the source code of the Software.
2.3 You may not use the Software for any unlawful activities or in violation of any applicable national or international law or regulation.
3. User Responsibilities
3.1 You are responsible for maintaining the confidentiality of your login information and for all activities that occur under your account.
3.2 You agree to comply with all applicable laws and regulations concerning your use of the Software.
4. Intellectual Property
4.1 The Software and all related content, including but not limited to text, graphics, logos, images, and software, are the property of SchoolAdvisor or its licensors and are protected under South African and international intellectual property laws.
5. Termination
5.1 This Agreement is effective until terminated by you or SchoolAdvisor. You may terminate this Agreement at any time by discontinuing the use of the Software
5.2 SchoolAdvisor may terminate this Agreement at any time without notice if you fail to comply with any of its terms, with immediate effect.
6. Warranty Disclaimer
6.1 The Software is provided “as is” and “as available,” with all faults. SchoolAdvisor and its suppliers expressly disclaim all warranties, whether express, implied, statutory, or otherwise, regarding the Software, including all implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.
7. Limitation of Liability
7.1 To the fullest extent permitted by applicable law, in no event will SchoolAdvisor, its affiliates, officers, directors, employees, agents, suppliers, or licensors be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from your access to or use of or inability to access or use the Software.
8. Indemnification
8.1 You agree to indemnify and hold harmless SchoolAdvisor and its directors, officers, employees, and agents from and against any claims, damages, obligations, losses, liabilities, costs, and expenses arising from your violation of this EULA or your use of the Software, including but not limited to any third-party claims that the Software infringes or violates any third-party rights.
9. Severability
9.1 If any provision of this Agreement is found to be invalid or unenforceable by a court of law, the remaining provisions will continue to be valid and enforceable.
10. Governing Law
10.1 This Agreement shall be governed by and construed in accordance with the laws of the Republic of South Africa, without regard to its conflict of law provisions.
11. Maintenance and Support
11.1 SchoolAdvisor commits to maintaining The Hive and providing routine updates to enhance functionality and security. Technical support will be available during normal business hours to assist with any issues that arise during the use of the Software.
12. Privacy and Data Protection
12.1 The Hive will collect and use personal data in accordance with SchoolAdvisor’s Privacy Policy, which complies with the Protection of Personal Information Act (POPIA). SchoolAdvisor is committed to safeguarding the personal information of its users.
13. Accessibility
13.1 SchoolAdvisor strives to make The Hive accessible in accordance with the best practices and standards for accessibility. Feedback on accessibility issues is welcomed and can be sent to [email protected].
14. Third-Party Services
14.1 The Hive may contain links to third-party websites or services that are not owned or controlled by SchoolAdvisor. SchoolAdvisor has no control over, and assumes no responsibility for, the content, privacy policies, or practices of any third party websites or services.
15. Dispute Resolution
15.1 In the event of any dispute arising from or relating to this agreement, the parties agree to attempt to resolve any dispute informally first. If the dispute cannot be resolved informally, the parties agree to arbitration, to be held in Cape Town, South Africa, in accordance with the Arbitration Foundation of Southern Africa (AFSA) rules.
16. Amendment Procedure
16.1 SchoolAdvisor reserves the right to amend this EULA at any time. You will be notified of these changes through an announcement on the software interface or via email. Continued use of The Hive after any such changes shall constitute your consent to such changes.
ACKNOWLEDGEMENT
BY USING THE HIVE, YOU ACKNOWLEDGE THAT YOU HAVE READ THIS AGREEMENT, UNDERSTAND IT, AND AGREE TO BE BOUND BY ITS TERMS AND CONDITIONS.
